Terms of Service

These Terms of Service ("Terms") govern your use of CutVault, a desktop application developed and sold by Rite Side Digital Marketing Agency LLC ("we," "us," or "our"), a Texas limited liability company. By purchasing, downloading, installing, or using CutVault, you agree to be bound by these Terms.

1. License Grant

CutVault Pro is a one-time purchase of $169. There is no subscription. Upon purchase, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use CutVault Pro on up to three (3) computers.

This license is for personal or internal business use. You may not sublicense, resell, redistribute, lease, or transfer CutVault or your license key to any third party.

2. License Keys

Your license key is delivered via email after purchase. One license key can be activated on up to three computers. You are responsible for keeping your license key secure. We reserve the right to deactivate license keys that are shared publicly, used fraudulently, or activated on more computers than your license allows.

3. Ownership and Intellectual Property

CutVault, including all code, design, branding, documentation, and related materials, is the intellectual property of Rite Side Digital Marketing Agency LLC and is protected by copyright and other intellectual property laws. Your purchase grants you a license to use the software — it does not transfer ownership of the software itself.

4. Your Files and Data

CutVault indexes and organizes files stored on your computer. It does not modify, move, delete, copy, or upload your original files at any time. CutVault creates a local index database and thumbnail images on your computer — these are separate from your original files and can be deleted at any time through the Settings menu without affecting your original files.

You retain full ownership of all your design files, images, and creative work. We claim no rights to your content.

5. Acceptable Use

You agree not to:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of CutVault
  • Modify, adapt, translate, or create derivative works based on CutVault
  • Remove, alter, or obscure any copyright, trademark, or proprietary notices in CutVault
  • Share, publish, or distribute your license key
  • Use CutVault in any way that violates applicable laws or regulations
  • Attempt to circumvent license verification or activation mechanisms

6. Updates

Your purchase includes updates for a period as described at the time of purchase. Updates are delivered through the application's built-in update mechanism. We are not obligated to provide updates, new features, or ongoing development beyond what is included in your purchase. Your current version of CutVault will continue to function regardless of whether you receive future updates.

7. Refunds

Refund requests submitted within 7 days of purchase are reviewed on a case-by-case basis. See our Refund Policy for full details. Contact support@cutvault.app with your purchase details to request a refund.

8. Free Trials

We may offer free trial periods at our discretion. Trial licenses expire automatically at the end of the trial period. No payment information is required for trials. Trial access does not guarantee any future pricing, features, or availability.

9. Termination

We reserve the right to terminate or suspend your license if you violate these Terms, including but not limited to sharing your license key, attempting to circumvent license protections, or using CutVault for unlawful purposes. Upon termination, you must uninstall CutVault and cease all use. Termination for cause does not entitle you to a refund.

10. Disclaimer of Warranties

CutVault is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that CutVault will be error-free, uninterrupted, or free of harmful components.

CutVault is a file organization tool. It does not control your laser machine, modify machine settings, or operate any equipment. You are solely responsible for verifying all settings before running any machine.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Rite Side Digital Marketing Agency LLC, its owners, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of CutVault, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising out of or related to these Terms or your use of CutVault shall not exceed the amount you paid for your CutVault license.

CutVault does not modify your original files. However, we are not responsible for any data loss, file corruption, or damage to your files, equipment, or materials resulting from your use of CutVault or any settings displayed within the application.

12. Indemnification

You agree to indemnify, defend, and hold harmless Rite Side Digital Marketing Agency LLC, its owners, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of CutVault, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in the State of Texas.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Rite Side Digital Marketing Agency LLC regarding your use of CutVault and supersede all prior agreements, representations, and understandings.

16. Changes to These Terms

We may update these Terms from time to time. If we make significant changes, we will notify you via email or through a notice on our website. Your continued use of CutVault after changes are posted constitutes your acceptance of the updated Terms.
